1. Introduction

Thank you for using Paymeo!

These Terms of Service ("Terms") govern your use of the Paymeo website (paymeo.co), mobile application, and related services (collectively, the "Platform"). Paymeo is a product of Meo Technologies Ltd. (RC No. 8967784), a company registered in Nigeria with offices at 27/29, Biaduo Street, Keffi-Ikoyi, Lagos, Nigeria ("Paymeo," "we," "us," or "our").

By accessing or using the Platform, you agree to be bound by these Terms, our Privacy Policy, and all other policies referenced herein. If you do not agree, please do not use the Platform.

2. About Paymeo

Paymeo is an AI-powered marketplace for intent-driven social commerce — connecting shoppers to local sellers who deliver. The Platform allows:

  • Shoppers to find what they need, receive offers and recommendations, and pay securely
  • Sellers to list products, receive AI-negotiated offers, and get paid
  • Users to earn bounties by helping others find items and make recommendations
  • Users to send and receive voluntary tips as gratuities for helpful recommendations

Important: Paymeo is a facilitator and does not take ownership of any goods sold through the Platform. We provide a marketplace, payment processing, and communication tools. The actual contract of sale is directly between the Shopper and the Seller.

3. Eligibility & Account Registration

3.1 Age Requirement

You must be at least 18 years old to create an account on Paymeo.

3.2 Account Creation

You must provide accurate, complete, and current information including your name, email address, and phone number.

3.3 Account Security

You are responsible for maintaining the confidentiality of your login credentials. Notify us immediately of unauthorized use at company@paymeo.co.

3.4 Verification (Wallet Setup)

To activate your Paymeo wallet, you must complete identity verification using Dojah, including your BVN or NIN. This is a one-time requirement for wallet functionality.

4. Paymeo Wallet (Self-Kolo)

4.1 Wallet Overview

Your Paymeo Wallet, powered by Paystack, allows you to fund your account, pay for items, receive payments, tips, and bounties.

4.2 Self-Custodied Model ("Self-Kolo")

Funds remain in your control until you personally initiate a "Release" or "Payout." Paymeo does NOT hold, manage, or have access to your funds in a centralized account and cannot "force" a payout or refund.

4.3 Funding Your Wallet

You may fund your Wallet using bank transfers via Paystack. Card funding is not available.

4.4 Wallet Balance Limits

To maintain compliance with Central Bank of Nigeria (CBN) guidelines, Paymeo reserves the right to:

  • Cap wallet balances at specified tiers (e.g., ₦100,000 for standard users)
  • Issue nudges to withdraw funds when balances exceed thresholds
  • Implement auto-sweep mechanisms for balances exceeding ₦200,000

5. Transaction Types

Paymeo supports four distinct types of transactions:

6. Bounties (User-to-User Recommendations)

Users can post requests ("Bounties") asking for recommendations. Other users ("Responders") can reply with helpful information.

6.2 No Escrow for Bounties

Funds for Bounties are NOT held in escrow. Payments are processed through the Self-Kolo wallet model.

6.3 No Dispute Resolution for Bounties

Paymeo does NOT offer dispute resolution for User-to-User Bounties. Any disagreement must be resolved directly between users.

Paymeo provides Transaction Chats to facilitate communication but does not review chat transcripts for dispute resolution purposes.

7. Shopper-to-Seller Transactions

7.2 The Escrow Process

When a Shopper pays for goods, Paymeo securely holds the funds in escrow until the Shopper confirms receipt or the auto-release period expires.

7.6 Auto-Release

If the Shopper does not confirm receipt or file a dispute within seven (7) calendar days of delivery verification, funds auto-release to the Seller.

7.8 Paymeo as Arbiter

Unlike bounties, Paymeo acts as a formal mediator for Shopper-to-Seller disputes, reviewing chat logs, photos, and tracking information to make a final binding decision.

By using Paymeo's shopping features, both Shoppers and Sellers agree to abide by Paymeo's final decision regarding escrowed funds.

8. Seller Terms

8.2 Seller Fees: Sellers pay 3-5% commission per transaction, OR subscribe to a monthly/annual plan (see paymeo.co/pricing) for 0% commission.

8.5 AI Negotiation: Sellers may enable Paymeo's AI to negotiate within price parameters they set. Sellers remain responsible for all offers accepted by the AI.

8.7 Seller Verification: Paymeo may require Sellers to provide additional verification before activating selling privileges.

9. Shopper Terms

9.1 Making a Purchase: Funds are held in escrow until you confirm receipt or the auto-release period expires.

9.3 Posting Requests: You may add a "bounty" to incentivize faster responses. Any bounty offered is a binding commitment.

9.4 Tipping: Tips are voluntary, final, non-refundable, and subject to Paymeo's Tipping Policy (Section 26).

10. AI Features

10.1 AI Negotiation: Paymeo's AI acts based on parameters set by Sellers.

10.2 Limitation of Liability: Paymeo is not liable for any offer made by AI acting within Seller-set parameters.

10.3 No Legal Advice: Paymeo's AI does not provide legal, financial, or professional advice.

11. Return & Refund Policy

11.1 General Rule: All Sales Final

All sales completed on Paymeo are final unless the item is fraudulent or materially not as described.

Refunds available for: Non-delivery, counterfeit/fraudulent items, materially different items.

Refunds NOT available for: Buyer's remorse, minor differences, damage after delivery, delayed delivery, bounties/recommendations, tips.

Return Process: Shopper files dispute within 7 days → Paymeo reviews → If approved, return arranged between parties → Refund issued.

12. Prohibited Items

The following items may NOT be sold on Paymeo: illegal drugs, weapons, stolen goods, counterfeit products, live animals, human remains, hazardous materials.

Prohibited activities include: off-platform transactions, fake accounts, fraud, harassment, false information.

Violations may result in listing removal, fund freezing, account termination, or reporting to law enforcement.

13. Community Standards & Content Moderation

13.1 Universal Application

These standards apply to all user-generated content on Paymeo, including but not limited to: general feed posts, Bounty-attached requests ("Bounties"), Shop Asks, comments, and Transaction Chats. Paymeo maintains a zero-tolerance policy for content that threatens user safety, national stability, or violates Nigerian Law.

13.2 Prohibited Content & Bounties

You are strictly prohibited from posting, soliciting, or rewarding any content related to:

  • Personal Harassment: Bounties or posts intended to locate, track, dox, or issue "wanted" notices for private individuals.
  • Violence & Harm: Any request for physical harm, stalking, or incitement to violence against any person or group.
  • Regulated Goods: Sale or solicitation of narcotics, firearms, ammunition, or counterfeit currency.
  • Illegal Services: Bounties for hacking, currency manipulation (outside CBN guidelines), or unauthorized lending.
  • Indecency: Obscene, pornographic, or religiously offensive material.
  • Political Content: The following political activities and content are strictly prohibited:
    • Hate speech directed at political figures, parties, or ethnic/political affiliations
    • Incitement to violence against government institutions, law enforcement, or political opponents
    • Content that threatens national security, unity, or territorial integrity of Nigeria
    • Bounties for "wanted" notices or targeting of political opponents, activists, or public officials
    • False information intended to disrupt elections, incite public unrest, or undermine democratic processes
    • Calls for secession, coup d'état, or unconstitutional changes to government
    • Promotion of terrorist organizations, insurgent groups, or any entity advocating political violence
    • Harassment, doxxing, or coordinated attacks on political figures, candidates, or their supporters

13.3 Automated & Community Moderation

Paymeo utilizes AI-driven keyword filtering and sentiment analysis to flag prohibited content. We reserve the right to:

  • Pre-screen: Block posts containing blacklisted terms before they appear.
  • Shadow-ban: Automatically hide posts that receive multiple community "Reports" pending manual review.
  • Remove: Delete any content deemed a violation of these terms without prior notice.
  • Report: Flag serious violations (especially political violence or national security threats) to relevant law enforcement agencies.

14. Transaction Chats & Bounty Logistics

14.1 The Bounty-to-Chat "Bridge"

To ensure transaction clarity and reduce feed clutter, Authors of Bounty posts may activate a Transaction Chat with a Responder.

  • Waiver of Tips: For Bounties exceeding ₦5,000, the requirement for a "New Chat Tip" is waived. The Bounty serves as the authorization to open a private dialogue.
  • Contextual UI: Based on the post category (e.g., Shopping vs. Service), the chat interface may adapt to include specific tools (e.g., photo proofs, waybill uploads, or milestone checklists).

14.2 The Self-Kolo Model (Liability Waiver)

Paymeo utilizes a self-custody ("Self-Kolo") mechanism for User-to-User Bounties.

  • Author Control: Funds are locked in the Author's own wallet and released only by the Author's manual confirmation.
  • No Arbitration: For peer-to-peer Bounties, Paymeo acts solely as a communication pipe. We do not offer dispute resolution or mediation for Bounties. The Author is solely responsible for vetting the recommendation before releasing funds.

15. Shopper-to-Seller Escrow & Disputes

15.1 Escrow Protection

For transactions involving the purchase of physical goods through the "Shop Asks" feature or "Discover" marketplace, Paymeo acts as a Marketplace Facilitator. Funds are held in a secure Escrow Kolo until delivery is confirmed by the Shopper or the 48-hour auto-release period expires.

15.2 Mandatory Dispute Resolution

In the event of non-delivery or defective goods, Shoppers must initiate a Dispute within the Transaction Chat.

  • Review of Logs: Paymeo reserves the right to review Chat logs and media (photos/waybills) to adjudicate the dispute.
  • Final Decision: By using the Shopping feature, both parties agree to abide by Paymeo's final determination regarding refunds or payouts.

16. Fees & Payments

All fees are disclosed on the Platform. Your continued use after fee changes constitutes acceptance. You are responsible for all applicable taxes. Payments processed by Paystack - Paymeo is not responsible for Paystack's services.

17. User Content

You retain ownership of content you post. By posting, you grant Paymeo a worldwide, royalty-free license to use your content to operate the Platform. Paymeo reserves the right to remove objectionable content.

18. Dispute Resolution

Bounties & Tips: No formal dispute resolution. Users resolve directly. Tips are final and non-disputable.

Shopper-to-Seller: Formal mediation by Paymeo. Decision is final and binding.

Disputes with Paymeo: Attempt informal resolution → then binding arbitration in Lagos, Nigeria.

19. Limitation of Liability

Paymeo is not liable for any losses, damages, or injuries resulting from recommendations, product quality, delivery, tips, or user interactions. Liability strictly limited to technical functionality of the Platform. For escrow transactions, liability limited to the value of funds held in that specific escrow Kolo.

20. Disclaimer of Warranties

The Platform is provided "AS IS" without warranties. Paymeo does not warrant uninterrupted service, accuracy of recommendations, or that transactions will complete as expected.

21. Indemnification

You agree to indemnify Meo Technologies Ltd. from any claims arising from your use of the Platform, violations of these Terms, or disputes with other users.

22. Law Enforcement Cooperation

Paymeo complies with the Cybercrimes Act and NDPR. We will cooperate with the Nigeria Police Force (NPF), EFCC, and other authorized bodies by providing transaction logs and user identity data (KYC) when a valid legal warrant is presented regarding criminal bounties, money laundering, or fraudulent activity.

23. Priority Bounty Hunters

23.1 Program Overview

The Priority Bounty Hunter program is a specialized designation for trusted users who have demonstrated reliability, integrity, and commitment to the Paymeo community. Priority Bounty Hunters ("Hunters") receive exclusive benefits including priority visibility on bounty requests, early notifications, and enhanced trust signals on their profiles.

23.2 Eligibility & Application Process

To become a Priority Bounty Hunter, applicants must:

  • Be at least 18 years of age with a fully verified Paymeo account (BVN/NIN verification completed)
  • Have an active Paymeo Wallet in good standing
  • Complete the Hunter application form with accurate location and service area information
  • Agree to these Terms and any supplemental Hunter-specific policies
  • Pass Paymeo's internal review and background verification process

Paymeo reserves the right to accept or reject any application at its sole discretion without providing a reason.

23.3 Hunter Obligations & Code of Conduct

Priority Bounty Hunters agree to:

  • Fulfillment Standard: Complete all accepted bounty requests within the agreed timeframe or communicate delays proactively
  • Accuracy Obligation: Provide accurate, truthful, and helpful information in all responses — no misleading or intentionally false recommendations
  • Communication Standard: Respond to bounty authors promptly and maintain professional, respectful communication at all times
  • Location Honesty: Only claim bounties and serve areas within your actual operational capacity
  • Platform Loyalty: Do not solicit off-platform payments or attempt to move transactions outside Paymeo
  • Confidentiality: Keep all author information and transaction details confidential
  • Compliance: Adhere to all applicable Nigerian laws, including but not limited to the Cybercrimes Act, NDPR, and consumer protection regulations

23.4 Prohibited Conduct

Priority Bounty Hunters are strictly prohibited from:

  • Fraudulent Claims: Providing false information to collect bounties without delivering value
  • Misrepresentation: Impersonating sellers, businesses, or other users
  • Ghosting: Accepting bounties and failing to respond or deliver without communication
  • Collusion: Coordinating with others to artificially inflate ratings or fake bounties
  • Harassment: Abusing, threatening, or harassing bounty authors or other users
  • Off-Platform Solicitation: Attempting to take transactions outside Paymeo to avoid fees or accountability
  • Scams: Any form of advance-fee fraud, phishing, or deceptive practices
  • Fake Evidence: Submitting fabricated screenshots, photos, or proof of delivery

23.5 Consequences of Misconduct & Fraud

Priority Bounty Hunters are held fully responsible for any fraudulent activities or violations of these Terms.Upon discovery of misconduct, Paymeo reserves the right to take any or all of the following actions:

  • Immediate Suspension: Temporary suspension of Hunter status pending investigation
  • Permanent Revocation: Permanent removal from the Priority Bounty Hunter program
  • Account Suspension/Termination: Partial or full suspension of the user's Paymeo account
  • Forfeiture of Funds: Forfeiture of any pending or future bounty payments associated with fraudulent activity
  • Wallet Freeze: Freezing of Paymeo Wallet funds pending investigation and resolution
  • Legal Action: Referral to law enforcement agencies (NPF, EFCC) for criminal prosecution under Nigerian law
  • Civil Liability: Pursuit of civil remedies for damages caused to Paymeo or other users
  • Public Disclosure: Disclosure of fraudulent conduct to other users or the public
  • Permanent Ban: Lifetime ban from all Paymeo services and affiliated platforms

IMPORTANT: Paymeo does not mediate disputes between bounty authors and Hunters. The Hunter assumes all liability for the quality, accuracy, and timeliness of their recommendations. Bounty authors release funds at their own discretion, and Paymeo has no obligation to reverse or refund bounty payments under any circumstances.

23.6 Hunter Liability Waiver

By applying for and accepting Priority Bounty Hunter status, you explicitly acknowledge and agree that:

  • Paymeo is not responsible for any losses, damages, or disputes arising from your bounty responses
  • You bear sole responsibility for any legal claims brought by bounty authors or third parties
  • You indemnify and hold harmless Meo Technologies Ltd. from any claims related to your bounty activities
  • Paymeo does not guarantee that being a Hunter will result in any minimum level of earnings

23.7 Hunter Benefits

Priority Bounty Hunters receive the following benefits:

  • Priority visibility on bounty posts (displayed first to bounty authors)
  • Early notifications for new bounty requests in their designated area
  • "Priority Hunter" trust badge on their profile
  • Access to exclusive Hunter-only features and analytics
  • Priority customer support

Note: Benefits are provided at Paymeo's discretion and may be modified or withdrawn at any time without notice.

23.8 Program Modifications & Termination

Paymeo reserves the right to modify, suspend, or terminate the Priority Bounty Hunter program at any time, with or without notice. Hunters do not have any vested right to continued participation in the program.

24. Termination

You may delete your account at any time. Paymeo may suspend or terminate accounts for violations. Upon termination, pending transactions may be cancelled or completed at Paymeo's discretion. Priority Bounty Hunter status is automatically revoked upon account termination.

25. General Provisions

Governing Law: Laws of the Federal Republic of Nigeria.

Amendments: Paymeo may update Terms at any time. Continued use constitutes acceptance.

Severability: If any provision is invalid, remaining provisions remain in force.

Entire Agreement: These Terms constitute the entire agreement between you and Paymeo.

26. Tipping Policy

26.1 Overview

Paymeo allows users to send voluntary gratuities ("Tips") to other users as a token of appreciation for helpful recommendations, exceptional service, or successful bounty fulfillment. Tips are user-to-user transfers facilitated through the Paymeo Platform and processed by Paystack.

Tips are completely voluntary. Paymeo does not set tip amounts, require tips for any service, or guarantee any service or outcome in exchange for tips. All tipping activity is subject to these Terms and applicable Nigerian laws.

26.2 Nature of Tips

By sending or receiving Tips on Paymeo, you acknowledge and agree that:

  • Tips are voluntary gratuities paid directly from one user to another
  • Paymeo does not set tip amounts, require tips, or guarantee services in exchange for tips
  • All Tip funds are held and processed by Paystack, not by Paymeo
  • Tips are final, non-refundable, and non-disputable
  • No goods or services are guaranteed in exchange for any Tip

26.3 Prohibited Tipping Activities

The following tipping activities are strictly prohibited:

  • Money Laundering: Using Tips to transfer funds between accounts without legitimate purpose or to obscure the source of funds
  • Self-Tipping / Circular Tipping: Tipping your own accounts or coordinating with others to artificially inflate earnings or reputation
  • Fake Transactions: Creating fake bounties or Asks solely to generate tipping activity
  • Wash Tipping: Sending Tips back and forth between accounts to simulate legitimate activity
  • Off-Platform Settlements: Using Tips as a mechanism to settle debts or transfer value outside of legitimate bounty fulfillment
  • Tip Farming: Soliciting or demanding Tips in exchange for bounty responses or recommendations
  • Structuring: Breaking down Tip amounts to avoid detection or monitoring
  • Exploitation of Limits: Attempting to circumvent any Tip limitations or frequency restrictions implemented on the Platform

26.4 Fraud Detection & Monitoring

Paymeo employs automated fraud detection systems to monitor tipping behavior, including but not limited to:

  • Analysis of tip patterns and velocity
  • Detection of unusual tipping behavior relative to bounty fulfillment
  • Cross-referencing of device fingerprints and BVN/NIN across accounts
  • Monitoring of wallets with high tip volume but low legitimate activity
  • Identification of circular payment patterns between accounts

Suspicious tipping activity will trigger automated flags and may result in manual investigation by Paymeo's compliance team.

26.5 Consequences of Tipping Fraud

Users found engaging in prohibited tipping activities face severe consequences. Paymeo reserves the right to take any or all of the following actions:

  • Tip Reversal/Clawback: Reversal of fraudulent or suspicious Tips
  • Wallet Freeze: Immediate freezing of all wallet activities pending investigation
  • Fund Seizure: Forfeiture of funds involved in fraudulent tipping activity
  • Account Suspension: Temporary suspension of account privileges
  • Permanent Ban: Lifetime ban from all Paymeo services
  • Priority Status Revocation: Immediate removal from Priority Bounty Hunter program
  • Law Enforcement Referral: Reporting to Nigeria Police Force (NPF), EFCC, or other relevant authorities for criminal investigation under the Money Laundering (Prevention and Prohibition) Act, 2022 and Cybercrimes Act
  • Civil Liability: Pursuit of civil damages for losses incurred by Paymeo or other users
  • Blacklisting: Permanent blacklisting from all affiliated platforms and services

IMPORTANT: Money laundering through digital platforms is a serious criminal offense in Nigeria, punishable by substantial fines and imprisonment. Paymeo actively cooperates with law enforcement to prosecute users engaged in laundering activities.

26.6 Reporting Suspicious Tipping

Users who suspect tipping fraud, money laundering, or other prohibited activities should report immediately to compliance@paymeo.co. Reports may be kept anonymous at the reporting user's request.

26.7 Tax Compliance

Users receiving Tips are solely responsible for declaring Tip income to the Federal Inland Revenue Service (FIRS) or other relevant tax authorities. Paymeo provides monthly earnings statements to assist users with tax compliance but does not withhold taxes on Tips. Users should consult with a tax professional regarding their obligations.

Important Notice: Paymeo is NOT a bank, deposit-taking financial institution, or money services business. The Paymeo Wallet is a payment facilitation tool. Users are encouraged to withdraw funds promptly and not store significant balances on the Platform. Paymeo reserves the right to limit wallet balances, implement auto-sweep mechanisms, or require withdrawal of funds at any time to maintain compliance with Central Bank of Nigeria (CBN) guidelines.
